Terms of Service
These Terms govern access to and use of Jizoku — including our website, software platform, AI workflows, materials intelligence tools, documentation, APIs, integrations, and related services (together, the "Service").
By accessing or using the Service, creating an account, starting a trial, purchasing a subscription, or otherwise indicating acceptance, you agree to be bound by these Terms. If you are using the Service on behalf of an entity, you represent that you have authority to bind that entity. If you have entered into a separate written agreement with Jizoku, that agreement will govern to the extent it conflicts with these Terms.
Section 01
The Service
Jizoku provides AI-enabled materials intelligence and product-design workflow tools. The Service may allow users to upload, describe, review, or analyse product concepts, sketches, bills of materials, tech packs, supplier information, certification information, product attributes, commercial constraints, sustainability goals, regulatory considerations, and related information.
The Service may generate structured outputs, including material suggestions, component-level analysis, alternative material pathways, sustainability considerations, circularity observations, compliance-risk indicators, supplier or certification references, product redesign suggestions, reports, summaries, explanations, and other machine-generated or software-generated outputs ("Outputs").
Important: Jizoku is intended to assist with research, review, early-stage decisioning, and workflow acceleration. It is not a certification body, accredited testing laboratory, legal adviser, regulatory authority, or product-safety authority. You are responsible for reviewing and validating all Outputs before relying on them.
Section 02
Access and Use
Subject to your compliance with these Terms, Jizoku grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service for your internal business or professional purposes, or for such other purposes as we expressly permit in writing.
You may only use the Service in accordance with these Terms, applicable laws, applicable documentation, and any usage limits, plan restrictions, seat restrictions, credit limits, rate limits, or other restrictions displayed in the Service or agreed in writing.
We may update, improve, modify, suspend, replace, or discontinue parts of the Service from time to time. We may also release new features, remove features, change workflows, modify model providers, introduce usage limits, or alter how Outputs are generated.
Section 03
Eligibility and Accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, whichever is higher, to use the Service.
You agree that all account information you provide is accurate, complete, and not misleading, and that you will keep it up to date.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify us at terms@jizoku.ai if you suspect unauthorised access, misuse, compromise of credentials, or any security issue affecting your account.
You may not share account credentials except where expressly permitted by your plan or by written agreement with us.
Section 04
Customer Content and Outputs
4.1 Customer Content
"Customer Content" means any information, material, file, data, prompt, text, image, sketch, technical pack, bill of materials, product specification, supplier information, certification information, brand policy, sustainability objective, query, instruction, or other content that you or your users submit, upload, transmit, import, connect, or otherwise make available to the Service.
You retain all rights, title and interest in your Customer Content. Nothing in these Terms transfers ownership of your Customer Content to Jizoku.
By submitting Customer Content to the Service, you grant Jizoku a limited licence to host, process, transmit, display, reproduce, analyse, transform, and otherwise use Customer Content solely as necessary to provide, maintain, secure, troubleshoot, support, and improve the Service, comply with law, enforce these Terms, and prevent misuse.
You represent and warrant that you have all rights, licences, consents, permissions, and lawful bases required to submit Customer Content to the Service and to allow Jizoku and its service providers to process it in accordance with these Terms.
4.2 Outputs
Subject to your compliance with these Terms and payment of applicable fees, Jizoku assigns to you any rights, title and interest that Jizoku may have in Outputs generated specifically for you by the Service, to the extent such rights are capable of assignment under applicable law.
You acknowledge that AI-generated or software-generated Outputs may not be unique. The Service may generate similar or identical Outputs for other users, particularly where users submit similar prompts, product categories, materials, constraints, regulations, or public-domain information.
4.3 Responsibility
You are solely responsible for:
- your Customer Content;
- evaluating the accuracy, suitability, lawfulness, safety, and completeness of Outputs;
- confirming that any material, supplier, certification, claim, test result, regulatory conclusion, product statement, sustainability statement, or circularity statement is valid for your specific use case;
- obtaining professional advice where appropriate;
- ensuring that your use of Customer Content and Outputs complies with applicable law and third-party rights.
Section 05
AI Limitations and No Professional Advice
The Service uses artificial intelligence, automation, retrieval, reasoning, classification, ranking, and other software-based processes. These technologies have limitations.
Outputs may be inaccurate, incomplete, outdated, misleading, inconsistent, biased, unsuitable for your product, unsuitable for your jurisdiction, unsuitable for your supply chain, or based on incomplete information. Outputs may also omit relevant facts, misinterpret uploaded materials, misread product intent, misunderstand commercial constraints, or provide suggestions that require further validation.
Jizoku does not guarantee that Outputs:
- identify every relevant material risk, legal risk, sustainability risk, circularity issue, certification issue, supplier issue, sourcing constraint, product-safety concern, or regulatory requirement;
- are suitable for manufacturing, procurement, consumer labelling, investor reporting, regulatory filing, compliance sign-off, product safety sign-off, customs clearance, or public marketing claims;
- reflect the latest law, standards, supplier availability, certification status, scientific research, testing data, or market conditions;
- are free from hallucinations, errors, omissions, or assumptions.
The Service is a research and workflow-assistance tool. It does not provide legal, regulatory, tax, accounting, financial, engineering, scientific, product-safety, environmental, procurement, or compliance advice. You should obtain independent professional advice where required.
You must not present an Output as a legal opinion, certification, audit opinion, compliance certificate, ESG assurance statement, product-safety approval, laboratory test result, accredited verification, or regulatory approval unless it has been independently reviewed and validated by appropriately qualified professionals or authorities.
Section 06
Model Training, Product Improvement and Usage Data
6.1 Customer Content and Model Training
Unless you expressly opt in or agree otherwise in writing, Jizoku will not use your confidential Customer Content to train third-party foundation models.
Where the Service uses third-party AI model providers, Customer Content may be transmitted to those providers as necessary to generate Outputs, operate the Service, monitor abuse, secure the Service, or provide support. We will use reasonable efforts to select providers and settings that are appropriate for the Service and consistent with our privacy and security commitments.
Enterprise customers may be offered additional controls regarding data retention, model routing, training, logging, or processing. Those controls may be governed by a separate order form, data processing agreement, or enterprise agreement.
6.2 Usage Data
Jizoku may collect and process technical, operational, diagnostic, analytics, performance, security, product-interaction, and usage data relating to the Service ("Usage Data"). Usage Data may include logs, timestamps, feature usage, workflow events, model-routing metadata, latency, errors, credit consumption, aggregated interaction patterns, and similar information.
Jizoku may use Usage Data to operate, secure, monitor, debug, improve, and develop the Service. We may disclose Usage Data in aggregated or de-identified form, provided it does not identify you, your users, your confidential Customer Content, or your commercially sensitive product information.
6.3 Feedback
If you provide suggestions, comments, ideas, bug reports, feature requests, product feedback, design recommendations, or other feedback about the Service ("Feedback"), you grant Jizoku a perpetual, irrevocable, worldwide, royalty-free right to use, disclose, reproduce, modify, commercialise, and otherwise exploit that Feedback without restriction or compensation to you.
Section 07
Confidentiality
"Confidential Information" means non-public information disclosed by one party to the other that is marked confidential, would reasonably be understood to be confidential, or relates to business, technology, products, suppliers, customers, financials, strategy, software, security, research, product designs, materials, trade secrets, or operations.
Each party agrees to use the other party's Confidential Information only to perform or receive the Service, to protect it using reasonable care, and not to disclose it except to personnel, affiliates, advisers, contractors, subprocessors, or service providers who need to know it and are bound by confidentiality obligations.
Confidential Information does not include information that is publicly available without breach of these Terms, already known without restriction, independently developed without use of the other party's Confidential Information, or lawfully received from a third party.
A party may disclose Confidential Information where required by law, regulation, court order, or governmental authority, provided it gives reasonable notice where legally permitted.
Section 08
Acceptable Use and Restrictions
You must not, and must not allow anyone else to:
- use the Service in violation of any applicable law, regulation, third-party right, or contractual obligation;
- upload Customer Content that you do not have the right to use, process, or submit;
- upload malicious code, viruses, malware, spyware, ransomware, or harmful files;
- interfere with, disrupt, overload, probe, scan, penetrate, or test the vulnerability of the Service or related systems without authorisation;
- reverse engineer, decompile, disassemble, copy, modify, scrape, harvest, or extract the Service, except to the extent expressly permitted by law;
- use the Service to develop, train, benchmark, or improve a competing product, model, dataset, workflow, or service, except with our prior written consent;
- perform model extraction, prompt extraction, automated scraping, systematic data harvesting, or unauthorised benchmarking;
- remove proprietary notices or branding from the Service;
- use the Service to generate or distribute unlawful, infringing, deceptive, defamatory, discriminatory, harmful, abusive, or misleading content;
- submit special-category personal data, highly sensitive personal data, payment card data, protected health information, biometric data, children's data, government identifiers, or regulated financial information unless expressly agreed in writing and supported by an appropriate data processing agreement;
- use the Service for fully automated decisions that produce legal or similarly significant effects on individuals without appropriate human review and legal basis;
- use the Service as the sole basis for product-safety approval, legal compliance, regulatory filing, consumer labelling, environmental claims, or supplier approval;
- misrepresent Outputs as independently verified, accredited, certified, audited, or legally approved;
- bypass usage limits, seat restrictions, credit limits, security features, or access controls.
We may suspend or terminate access to the Service if we reasonably believe you have violated this section or if suspension is necessary to protect the Service, other users, third parties, or Jizoku.
Section 09
Beta Services, Pilots and Early Access
From time to time, Jizoku may offer beta, alpha, pilot, evaluation, proof-of-concept, limited-release, experimental, preview, or early-access features ("Beta Services").
Beta Services may be incomplete, unstable, unsupported, inaccurate, unavailable, subject to change, or discontinued at any time. Beta Services are provided for evaluation only and should not be used for production, compliance, regulatory, public-reporting, consumer-facing, manufacturing, or mission-critical purposes unless we expressly agree otherwise in writing.
Beta Services are provided "as is" and "as available" without warranties, commitments, service levels, support obligations, or data-retention commitments, to the fullest extent permitted by law.
Section 10
Payments, Subscriptions and Credits
Certain parts of the Service may require payment, including subscriptions, paid pilots, usage-based plans, credit-based plans, enterprise plans, add-ons, professional services, integrations, or custom workflows.
Unless stated otherwise:
- fees are payable in advance;
- fees are non-refundable except where required by law or expressly stated in writing;
- subscriptions automatically renew for successive billing periods unless cancelled before renewal;
- you are responsible for all applicable taxes, duties, levies, and similar charges, other than taxes based on Jizoku's net income;
- unused credits may expire at the end of the applicable billing period or as otherwise stated in your plan;
- we may suspend or downgrade access if payment is overdue.
We may use third-party payment processors. Your payment information may be processed by those providers under their own terms and privacy policies.
We may change pricing, plan structure, credits, usage limits, or paid features by giving reasonable notice where required. Continued use after a price change takes effect constitutes acceptance of the updated pricing.
Section 11
Third-Party Services and Data Sources
The Service may integrate with, rely on, link to, retrieve from, or route data through third-party services, model providers, APIs, databases, suppliers, certification bodies, public sources, open datasets, hosting providers, analytics tools, payment processors, authentication providers, file-storage systems, or other third-party products ("Third-Party Services").
Third-Party Services are not controlled by Jizoku. Your use of Third-Party Services may be subject to separate terms, policies, licences, fees, restrictions, and availability constraints.
Jizoku does not guarantee the accuracy, completeness, availability, lawfulness, licensing status, reliability, certification status, supplier status, or continued availability of third-party information, datasets, APIs, model outputs, supplier references, or linked materials.
Section 12
Data Protection and Privacy
Each party will comply with applicable data protection laws in connection with these Terms.
Where Jizoku processes personal data on your behalf as a processor, the parties will enter into or be deemed to incorporate an applicable data processing agreement, where required by law.
You must ensure that you have provided all notices and obtained all consents, permissions, and lawful bases required for personal data submitted to the Service.
You must not submit sensitive or regulated personal data unless your agreement with Jizoku expressly permits it and appropriate safeguards are in place.
Our Privacy Policy explains how we process personal data as a controller, including account, billing, website, marketing, support, and usage information.
Section 13
Security
Jizoku will use reasonable technical and organisational measures designed to protect the Service and Customer Content against unauthorised access, loss, misuse, alteration, or disclosure.
You are responsible for using appropriate security measures in your own environment, including strong passwords, access controls, internal permissions, device security, secure file handling, and careful review of what you upload.
No system is completely secure. Jizoku does not guarantee that the Service will be uninterrupted, error-free, immune from attack, or free from security vulnerabilities.
Section 14
Intellectual Property
Jizoku and its licensors retain all rights, title and interest in and to the Service, including software, workflows, prompts, orchestration logic, models, interfaces, designs, databases, know-how, templates, taxonomies, ontologies, scoring systems, report formats, documentation, trade marks, logos, and all related intellectual property rights.
Except for the limited right to use the Service expressly granted in these Terms, no rights are granted to you by implication, waiver, exhaustion, estoppel, or otherwise.
You may not use Jizoku's names, logos, marks, branding, or trade dress without our prior written consent.
Section 15
Publicity
Unless otherwise agreed in writing, you grant Jizoku the right to identify your organisation as a customer or user of the Service, including by using your name and logo in customer lists, websites, pitch materials, and marketing materials.
If you do not want us to use your name or logo, you may contact us at terms@jizoku.ai, and we will stop doing so within a reasonable period. Enterprise agreements may contain different publicity terms.
Section 16
Communications
We may send you service-related communications, including account, billing, security, legal, technical, product, and operational notices.
We may also send marketing communications where permitted by law. You may opt out of marketing communications using the unsubscribe link or instructions in the relevant message. You cannot opt out of essential service, legal, security, or transactional communications.
Section 17
Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to notify you, such as by updating the date at the top of these Terms, posting the updated Terms on our website, sending an email, or displaying an in-product notice.
The updated Terms will take effect when posted or on the date stated in the notice. Your continued use of the Service after the effective date means you accept the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
Section 18
Suspension and Termination
You may stop using the Service at any time. You may cancel a subscription using the account, billing, or cancellation functionality made available in the Service, or by contacting us where applicable.
We may suspend or terminate your access to the Service if:
- you breach these Terms;
- payment is overdue;
- your use creates security, legal, operational, reputational, or technical risk;
- we are required to do so by law or by a third-party provider;
- your account is inactive for an extended period;
- we discontinue the Service or a material part of it.
Where reasonably practicable, we will try to provide advance notice. However, we may suspend or terminate immediately where necessary to protect the Service, Jizoku, other users, third parties, or legal compliance.
Upon termination, your right to access and use the Service will cease. Sections that by their nature should survive termination will survive, including provisions relating to ownership, confidentiality, payment obligations, restrictions, disclaimers, liability, indemnity, dispute resolution, and governing law.
Section 19
Disclaimers
To the fullest extent permitted by law, the Service and Outputs are provided on an "as is" and "as available" basis.
Jizoku disclaims all warranties, representations, conditions, and guarantees, whether express, implied, statutory, or otherwise, including any implied warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, title, quiet enjoyment, non-infringement, accuracy, availability, reliability, security, or uninterrupted operation.
Jizoku does not warrant that:
- the Service will meet your requirements;
- the Service will be uninterrupted, secure, timely, available, or error-free;
- defects will be corrected;
- Outputs will be accurate, complete, current, lawful, non-infringing, safe, suitable, or fit for your intended use;
- material suggestions will be commercially available, technically feasible, compliant, certified, cost-effective, manufacturable, scalable, or appropriate for your product;
- supplier or certification information will be complete, current, valid, or independently verified.
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law.
Section 20
Limitation of Liability
To the fullest extent permitted by law, Jizoku and its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, punitive, or similar damages, or for any loss of profits, revenue, business, goodwill, anticipated savings, data, production, opportunity, contracts, reputation, or business interruption, whether arising in contract, tort, negligence, breach of statutory duty, misrepresentation, restitution, or otherwise, even if advised of the possibility of such loss.
To the fullest extent permitted by law, Jizoku's total aggregate liability arising out of or relating to these Terms, the Service, Customer Content, Outputs, or any related matter will be limited to the greater of:
- the amount paid by you to Jizoku for the Service in the six months immediately preceding the event giving rise to the claim; or
- £100.
The limitations in this section apply even if any remedy fails of its essential purpose. The limitations do not apply to liability that cannot be excluded or limited under applicable law.
Section 21
Indemnity
To the fullest extent permitted by law, you will defend, indemnify, and hold harmless Jizoku, its affiliates, officers, directors, employees, contractors, licensors, service providers, and agents from and against any claims, demands, proceedings, losses, liabilities, damages, costs, and expenses, including reasonable legal fees, arising out of or relating to:
- your Customer Content;
- your use or misuse of the Service or Outputs;
- your breach of these Terms;
- your violation of applicable law;
- your infringement or misappropriation of any third-party intellectual property, privacy, confidentiality, publicity, data protection, or other rights;
- your use of Outputs in product design, procurement, manufacturing, labelling, sustainability claims, compliance, reporting, marketing, or commercial decisions.
Jizoku may assume the exclusive defence and control of any matter subject to indemnification, and you agree to cooperate with our defence.
Section 22
Export, Sanctions and Compliance
You must comply with all applicable export control, trade sanctions, anti-bribery, anti-corruption, anti-money laundering, modern slavery, and similar laws.
You must not use the Service if you are located in, organised under the laws of, ordinarily resident in, or controlled from a country, region, entity, or person subject to applicable sanctions or trade restrictions that would prohibit your use of the Service.
You must not use the Service to design, source, procure, manufacture, or facilitate products, materials, or activities that are unlawful or restricted under applicable law.
Section 23
Governing Law and Jurisdiction
These Terms and any dispute or claim arising out of or relating to them, their subject matter, formation, or non-contractual obligations will be governed by the laws of England and Wales.
The courts of England and Wales will have exclusive jurisdiction over any dispute or claim arising out of or relating to these Terms, the Service, Customer Content, Outputs, or any related matter, except that Jizoku may seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, security, or the Service.
Section 24
General Terms
You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may assign or transfer these Terms in connection with a merger, acquisition, financing, restructuring, sale of assets, change of control, or by operation of law.
These Terms do not create a partnership, joint venture, employment, franchise, fiduciary, agency, or exclusive relationship between you and Jizoku.
If any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be replaced by an enforceable provision that most closely reflects the original intent.
Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.
These Terms, together with any applicable order form, written agreement, policies, or incorporated documents, constitute the entire agreement between you and Jizoku regarding the Service.
